Manager, Legal Counsel
Purpose:
Provide general legal services to adidas Korea, LLC (“adidas Korea”) including general legal advice and contractual support to client groups.
Key Responsibilities:
- Value Added Partner
- Provide legal services for adidas Korea, including counselling, contract review, drafting and negotiation, structuring of transactions, legal risk assessment and dispute avoidance.
- Liaise closely with adidas Korea business functions (“Business Partners”) to support them on legal matters (e.g., legal services including. counselling, contract review, drafting and negotiation, structuring of transactions)
- Provide legal advice in the early stages of Business Partners’ strategy development and key decisions.
- Provide legal guidance in relation to business plans, and help to ensure proper implementation of those plans, consistent with legal and regulatory objectives.
- Frequent contact with Business Partners to identify and discuss business issues and needs and to provide consistent and time-sensitive legal advice.
- Establishment of planning and legal strategies
- Devise legal strategies and solutions that safeguard against potential corporate liabilities in connection with legal disputes (e.g. litigations, meditations, administrative actions from government agencies).
- Work closely with Director of Legal & Government Relations to negotiate with counterparties and stakeholders in dealing with inducing withdrawal of cases, plea bargaining, leniency dispositions of government agencies, resolution of legal and business disputes.
- Work closely with Business Partners to summarize and communicate legal concepts clearly and effectively and help them synthesize legal frameworks in developing their business strategies.
- Internal and External Business Development / Client Service
- Improve standard form agreements and legal processes that help to scale globally with a consistent but locally relevant approach.
- Provide legal guidance in relation to business plans, and help to ensure proper implementation of those plans, consistent with legal and regulatory objectives.
- Monitor legal and regulatory changes in the relevant jurisdictions to assess the impact on relevant lines of business, and identify new business opportunities and/or regulatory risks.
- Provide effective and appropriate supervision and management of delivery of legal services through outside counsel.
- Risk Management
- Identify legal risks, and significant incidents of non-compliance, if any, and escalate these to Director, Legal & Government Relations.
- Manage and provide appropriate legal guidelines in due course in the event of PR crisis to minimize negative impact on company.
- Corporate Legal
- Support corporate recordkeeping needs for adidas Korea and act in accordance with directions from adidas AG Corporate Legal in connection with Meeting of Board of Business Executers and Ordinary General Meeting of Members.
- Support corporate transactions, including joint ventures, acquisitions and mergers.
Key Relationships:
- Reports to Director, Legal & Government Relations
- Interacts internally with all levels of organization.
- Interacts and works with other adidas legal department members.
- Interacts externally with outside counsels and associations.
Knowledge Skills and Abilities:
- Excellent client relations skills (including ability to interact with clients at all levels from most senior to most junior).
- Business acumen and ability to make practical evaluations of risk essential.
- Excellent written and verbal communication skills required. Must be fluent in country’s local language and English.
- Strong background in contract law, drafting and negotiation and business counselling.
- Ability to work independently and manage and prioritize substantial and diverse workload.
- Strong team player with strong leadership skills
- Willingness to travel domestically and internationally.
- Excellent presentation skills using Power Point.
Requisite Education and Experience / Minimum Qualifications:
- Law Degree (LL.B.)
- 5-8 years of law firm or legal department experience in Korea in general corporate, e-Commerce, privacy, transactional and commercial law, etc.
- Experience with multinational companies in Korea preferred.
